These Terms of Service ("Terms") are a binding agreement between you and MIATECHPARTNERS LLC ("Agentic Workers," "we," "us," or "our"), and govern your access to and use of the Agentic Workers website and services. By accessing or using our services, you agree to these Terms. Please read them carefully before using our platform.

1. Acceptance of Terms

By accessing or using Agentic Workers (the "Service"), you accept and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that all registration information you provide is accurate and current.

3. Description of Service

Agentic Workers is an AI agent platform that lets users build, schedule, and deploy AI agents with integrated tool and third-party app access, powered by various AI models including but not limited to Claude (Anthropic) and OpenAI, and models accessed through providers such as OpenRouter and Groq. Features, models, and integrations may change, and we may add, modify, or discontinue any part of the Service at any time.

4. Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized use. You are responsible for the accounts and third-party integrations you connect to the Service and for ensuring you have the right to grant the access you configure.

5. Acceptable Use

You agree to use the Service lawfully and not to: (a) violate any law or the rights of others; (b) upload or generate content that is illegal, infringing, harmful, harassing, or that contains malware; (c) attempt to gain unauthorized access to the Service, other accounts, or our systems; (d) reverse engineer, scrape, or resell the Service or its outputs except as expressly permitted; (e) use the outputs to develop a competing model or service, or otherwise in violation of the terms of the underlying AI providers; or (f) impose an unreasonable or disproportionately large load on our infrastructure through excessive, automated, or abusive usage. We reserve the right to investigate and to limit, suspend, or terminate accounts that violate this section.

6. AI-Generated Content Disclaimer

The Service uses artificial intelligence models to generate content, recommendations, and outputs. AI-generated results may be inaccurate, incomplete, outdated, or misleading. AI models can "hallucinate" — producing content that appears plausible but is factually incorrect. You are solely responsible for reviewing, verifying, and validating any AI-generated output before relying on it or taking action based on it. Agentic Workers does not guarantee the accuracy, reliability, or completeness of any AI-generated content and shall not be liable for any decisions, actions, or consequences arising from reliance on such content. You should exercise independent judgment and, where appropriate, seek professional advice before acting on AI-generated outputs.

7. Third-Party Services & AI Providers

The Service relies on third-party providers, including AI model providers (such as Anthropic, OpenAI, Groq, and OpenRouter), payment processors, hosting providers, and the integrations you connect (such as Google, Slack, Asana, and Telegram). Content you submit may be transmitted to these providers to deliver the Service, and your use of those features is also subject to the applicable provider's terms. We are not responsible for the acts, omissions, availability, or content of third-party services.

8. Intellectual Property & Your Content

The Service and its original content, features, and functionality are owned by Agentic Workers and are protected by copyright, trademark, and other laws. As between you and us, you retain ownership of the content you submit ("Your Content"). You grant us a limited, non-exclusive license to host, process, and transmit Your Content solely to operate and improve the Service and to route it to the third-party providers needed to fulfill your requests. You are responsible for ensuring you have the rights necessary to submit Your Content.

9. Payment, Subscriptions & Credits

Paid plans and usage-based credits are billed in accordance with the pricing and payment terms presented at purchase. Subscriptions renew automatically for the same period until cancelled, and you authorize us and our payment processor to charge your payment method on a recurring basis. You may cancel at any time through your account billing settings or by contacting us at hello@agenticworkers.com; cancellation stops future renewals but does not refund the current billing period except as provided in our Refund Policy. Fees are exclusive of taxes unless stated otherwise. We may change pricing prospectively with notice.

10. Refund Policy

We offer a 7-day money-back guarantee on new subscription purchases. If you are not satisfied, you may request a refund within 7 days of purchase by emailing hello@agenticworkers.com and including your purchase date, payment method, and reason for the refund.

11. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any output will meet your requirements.

12. Limitation of Liability

To the maximum extent permitted by law, Agentic Workers and its officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for all claims relating to the Service shall not exceed the greater of the amounts you paid us in the twelve (12) months preceding the event giving rise to the claim, or USD $100.

13. Indemnification

You agree to defend, indemnify, and hold harmless Agentic Workers and its affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your Content, your use of the Service, your integrations, or your violation of these Terms or applicable law.

14. Termination & Suspension

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends; sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information. Please review it to understand our practices.

16. Changes to Terms

We may modify these Terms at any time. We will post the updated Terms with a new "Last updated" date and, for material changes, provide additional notice via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state courts located in Miami-Dade County, Florida, or, where federal jurisdiction exists, the U.S. District Court for the Southern District of Florida, and you consent to personal jurisdiction and venue in those courts. To the extent permitted by law, each party may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class or representative action.

18. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Agentic Workers regarding the Service and supersede any prior agreements. If any provision is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, financing, or sale of assets. We are not liable for any delay or failure to perform due to causes beyond our reasonable control.
